• AI-powered phone systems and virtual assistants

AI Infrastructure

• AI system architecture design and implementation
• Machine learning pipeline development and deployment
• Cloud-based AI infrastructure setup and management
• AI performance monitoring and maintenance

3. User Responsibilities and Conduct

3.1 Account Security

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized use.

3.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in any fraudulent, deceptive, or misleading activities
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the operation of our Services
• Use our Services to transmit viruses, malware, or other harmful code

• Attempt to manipulate or exploit AI systems through prompt injection or adversarial attacks
• Use AI outputs to generate harmful, abusive, illegal, or unethical content
• Violate safety guidelines or attempt to bypass content moderation systems
• Use AI services to infringe on intellectual property rights

4. Intellectual Property Rights

4.1 Company Intellectual Property

All rights, title, and interest in and to our Services, including all software, technology, content, trademarks, and other intellectual property, are and will remain the exclusive property of Agxntsix and its licensors. These Terms do not grant you any ownership rights in our intellectual property.

5. Limitation of Liability

5.1 Cap on Liability

Our total aggregate liability to you for all claims shall not exceed the greater of: (a) the total amount you paid to us in the twelve (12) months preceding the event, or (b) one thousand U.S. dollars ($1,000.00).

5.2 AI-Specific Liability Limitations

• AI-generated outputs may contain inaccuracies, errors, or unexpected results
• We do not guarantee the accuracy, completeness, or reliability of AI outputs
• AI outputs should not be relied upon as the sole basis for critical business, legal, medical, or financial decisions
• You should independently verify important information and consult qualified professionals

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Implied warranties of merchantability
• Implied warranties of fitness for a particular purpose
• Implied warranties of non-infringement
• Warranties that our Services will be uninterrupted, timely, secure, or error-free
• Warranties that results obtained from our Services will be accurate or reliable

7. Indemnification

You agree to indemnify, defend, and hold harmless Agxntsix, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising from or related to: your use or misuse of our Services, your violation of these Terms, your violation of any applicable laws or third-party rights, your client data, or any negligent or wrongful conduct.

8. Governing Law and Jurisdiction

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

8.2 International Use

We operate internationally with offices and operations in the United States, United Kingdom, Singapore, Spain, United Arab Emirates (Dubai), and Mexico. If you access our Services from outside the United States, you are responsible for compliance with local laws in your jurisdiction.

9. Dispute Resolution

9.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@agxntsix.ai to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes through good faith negotiations for at least thirty (30) days.

9.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, United States.

10.1 Termination by You

You may terminate your use of our Services at any time by discontinuing use of our Site and Services, closing your account (if applicable), or providing written notice to legal@agxntsix.ai.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including violation of these Terms, fraudulent or illegal activity, non-payment of fees, or conduct that damages our reputation or business interests.

10.3 Effect of Termination

Upon termination, your right to access and use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

11. Payment Terms

If you purchase Services from us, you agree to pay all fees as specified in the applicable service agreement, proposal, or invoice. Fees are non-refundable unless otherwise specified in writing.

• We accept payment via credit card, wire transfer, ACH, or other methods as mutually agreed
• Late payments may be subject to interest at 1.5% per month (or maximum permitted by law)
• All fees are exclusive of taxes—you are responsible for applicable taxes

12. Confidentiality

During the course of our business relationship, each party may disclose confidential information to the other. Each party agrees to maintain the confidentiality of the other party's confidential information, use it only for performing under these Terms, and not disclose it to third parties without prior written consent.

Confidentiality obligations shall survive for three (3) years after termination of these Terms, except for trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

13. General Provisions

13.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid. The remaining provisions shall continue in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agxntsix regarding your use of our Services and supersede all prior understandings and agreements.

13.3 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or internet/telecommunications failures.

13.4 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will take effect 30 days after notice is provided. Your continued use of our Services after the effective date constitutes your acceptance of the changes.
